Terms and Conditions

These Terms govern the platform partnership between Vetting Hub Ltd and any organisation that partners with Vetting Hub Ltd to embed Charlotte inside their software platform. Please read them carefully before registering as a partner.

Read This First — Our Core Position on Charlotte

Charlotte is an AI compliance advisor. She provides general guidance only. She is not a solicitor, barrister, or regulated legal professional. She does not provide legal advice. She does not create any legal or professional relationship between Vetting Hub Ltd and any Partner or End User.

Every decision made on the basis of Charlotte's guidance is the sole responsibility of the Partner and their customers. Vetting Hub Ltd accepts no responsibility whatsoever for any decision, regulatory consequence, legal outcome, fine, penalty, or commercial loss arising from reliance on Charlotte's guidance.

Partners are required to hold current Professional Indemnity insurance that covers their use of and reliance on Charlotte's guidance in connection with their business activities. This is a condition of the partnership and not optional.

Definitions

The following words have the meanings set out below throughout these Terms.

Vetting Hub Ltd
The company providing the Charlotte service and entering into this partnership agreement.
Charlotte
The AI compliance advisor built on the Vetting Hub Ltd knowledge base, delivered via a CSS embed code.
Partner
The software platform operator that has entered into a partnership agreement with Vetting Hub Ltd to embed Charlotte inside their platform and offer it to their customers.
Customer
A customer of the Partner who has been given access to Charlotte via the Partner's platform under a Licence.
Licence
A single customer access licence to Charlotte, priced at £500 per month. Each active Licence generates a £250 payment to Vetting Hub Ltd and £250 income for the Partner.
Embed Code
The CSS code issued by Vetting Hub Ltd per customer Licence that enables Charlotte to operate inside the Partner's platform for that customer.
Knowledge Base
The proprietary library of 65 specialist topics and 2,900 sub-topics on UK employment screening and vetting, authored and maintained exclusively by Vetting Hub Ltd.
Active Licence
Any Licence for which a customer has been confirmed to Vetting Hub Ltd and for which an Embed Code has been issued and not yet deactivated.

About These Terms

These Terms govern the partnership between Vetting Hub Ltd and the Partner. They apply from the moment the Partner registers, signs the partnership contract, receives an Embed Code, or makes Charlotte available to any customer.

By proceeding with registration or onboarding the Partner confirms they have read and agreed to these Terms in full.

If you do not agree to these Terms you must not proceed with registration, embed Charlotte, or make Charlotte available to any customer.

Charlotte — What She Is and Is Not

Charlotte is a specialist AI compliance guidance tool built entirely on UK employment screening and vetting expertise accumulated over 18 years by Graham Johnson, founder of Vetting Hub Ltd.

Charlotte answers questions about UK employment screening, vetting standards, compliance obligations, and related risk from a fixed knowledge base. She does not search the internet. She does not draw on any source outside the Knowledge Base. If she cannot answer a question she says so directly.

Charlotte is not a general AI assistant. She is not a solicitor or regulated professional. She does not provide legal advice. She does not replace professional legal counsel. She is a compliance guidance resource.

No Legal Advice

Charlotte does not provide legal advice. This is the most important point in these Terms.

Nothing Charlotte says, suggests, or produces constitutes legal advice. She is not a solicitor, barrister, or regulated legal professional. She does not hold professional indemnity insurance in connection with legal advice. She cannot provide legal opinions and does not do so.

Charlotte does not create any legal, advisory, or professional relationship between Vetting Hub Ltd and any Partner or Customer, regardless of the question asked or the guidance provided.

All decisions made on the basis of Charlotte's guidance are the sole responsibility of the Partner and their customers. Vetting Hub Ltd accepts no liability whatsoever for any regulatory action, compliance failure, legal proceedings, fine, penalty, or loss of any kind arising from reliance on Charlotte's guidance.

Charlotte can

Explain compliance frameworks, outline regulatory requirements, describe best practice, and provide general guidance on UK employment screening and vetting.

Charlotte cannot

Provide legal advice, give legal opinions, advise on disputes or litigation, replace a solicitor, or create any legally binding position.

Who is responsible

All decisions based on Charlotte's guidance are entirely and solely the responsibility of the Partner and their customers. Vetting Hub Ltd has no involvement in those decisions.

What Partners must do

Ensure every customer is clearly told before using Charlotte that she provides general guidance only and does not provide legal advice. This is mandatory.

Professional Indemnity Insurance

The Partner must hold current Professional Indemnity insurance throughout the duration of the partnership. The policy must provide adequate cover for claims arising from or connected to the Partner's use of Charlotte and reliance on Charlotte's guidance in connection with their business activities and their customers' activities.

Vetting Hub Ltd may at any time request written evidence that the Partner holds adequate Professional Indemnity insurance. The Partner must provide such evidence within five working days of receiving a written request.

Failure to hold adequate Professional Indemnity insurance or failure to provide evidence of it when requested constitutes a material breach of these Terms and may result in immediate suspension of all active Licences.

The requirement to hold Professional Indemnity insurance exists because Charlotte provides general compliance guidance only. It is the Partner's responsibility to ensure their business is properly covered against claims that arise from their customers' use of or reliance on that guidance. Vetting Hub Ltd accepts no liability in this respect.

The Partnership Model

The partnership works as follows. The Partner offers Charlotte to their customers at £500 per month per Licence. When a customer signs up, the Partner notifies Vetting Hub Ltd. Vetting Hub Ltd configures Charlotte for that customer and issues a unique Embed Code within 24 hours. The Partner's web team adds the Embed Code to the relevant part of their platform. Charlotte is live for that customer.

Vetting Hub Ltd invoices the Partner £250 per Active Licence per month. The Partner invoices their customer £500 per month. The Partner keeps the difference. The split is always 50/50 with no variation.

The Free Trial

Vetting Hub Ltd may offer a prospective Partner a free seven-day trial before they commit to the partnership. The following conditions apply to the trial.

  • The trial is free of charge for a maximum of seven calendar days.
  • Access is limited to one named user.
  • The trial provides full access to Charlotte's Knowledge Base for evaluation purposes only.
  • All other provisions of these Terms apply during the trial period.
  • Vetting Hub Ltd may end the trial at any time without notice.
  • At the end of the trial, access stops automatically unless the Partner confirms in writing they wish to proceed.
  • A trial is offered once per Partner. Vetting Hub Ltd may decline a trial request at its discretion.

Fees, Invoicing and Payment

Vetting Hub Ltd invoices the Partner monthly for the total number of Active Licences at £250 per Licence per month. Invoices are issued monthly and are due for payment within 14 days of the invoice date.

All fees are exclusive of VAT. Where VAT applies it will be charged at the prevailing rate and shown separately on invoices.

Late payment will accrue interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

Vetting Hub Ltd may review and adjust the per-Licence fee on not less than 30 days written notice. Continued use of the service following notice of a fee change constitutes acceptance of the new fee. If the Partner does not accept the change they may terminate the partnership under clause 10.

The Partner is responsible for invoicing their customers separately at £500 per Licence per month. Vetting Hub Ltd has no involvement in the billing relationship between the Partner and their customers.

Cancelling a Customer Licence

It is the Partner's responsibility to notify Vetting Hub Ltd when one of their customers stops using Charlotte or wishes to cancel their Licence.

A Licence remains Active and the Partner will continue to be invoiced for it until Vetting Hub Ltd receives written notification that the customer has stopped using Charlotte. Notification must be sent by email to [email protected] with the subject line clearly stating the customer name and that the Licence is to be cancelled.

Vetting Hub Ltd will not credit or refund any invoiced amounts for a Licence that was Active at the time of invoicing because notification was not received before that invoice was issued. The Partner bears full responsibility for notifying Vetting Hub Ltd promptly when a customer cancels.

Upon receipt of a valid cancellation notification Vetting Hub Ltd will deactivate the relevant Embed Code and remove the Licence from the next monthly invoice. The Partner must remove the deactivated Embed Code from their platform promptly.

To cancel a customer Licence: email [email protected] — Subject: Licence Cancellation — [Partner name] — [Customer name]. Cancellation takes effect from the date Vetting Hub Ltd confirms receipt in writing.

Cancelling the Partnership

Either party may terminate the partnership by giving not less than three calendar months written notice. Notice must be sent by email to [email protected] with a subject line clearly stating the intention to terminate the partnership.

Notice takes effect from the date Vetting Hub Ltd acknowledges receipt in writing. All Active Licences and the monthly invoice for those Licences continue throughout the notice period. All fees remain payable in full during the notice period. No refund or credit will be given for any fees paid or payable during the notice period.

At the end of the notice period all active Embed Codes will be deactivated and the Partner must remove them from their platform immediately.

To terminate the partnership: email [email protected] — Subject: Partnership Termination — [Partner name]. Your three month notice period begins from the date Vetting Hub Ltd acknowledges receipt in writing.

Vetting Hub Ltd may terminate the partnership immediately in the circumstances set out in clause 15.

Embed Code and Deployment

Each Embed Code is unique to one customer Licence. It may only be used within the Partner's platform for the customer it was issued for. It must not be shared, transferred, or used in any other environment.

Charlotte must only be accessible within an authenticated environment. This means an area of the Partner's platform that requires a customer to log in before they can access it. Charlotte must never be placed on any publicly accessible page or area that does not require authentication.

The Partner is responsible for implementing each Embed Code correctly and for ensuring it is only accessible to the customer it was issued for. Vetting Hub Ltd is not responsible for technical failures caused by incorrect implementation by the Partner.

Using a single Embed Code for more than one customer, or placing an Embed Code in any publicly accessible environment, constitutes a material breach of these Terms and will result in immediate deactivation of that Embed Code without refund.

Partner Obligations

The Partner is responsible for the following throughout the duration of the partnership.

  • Ensuring each Embed Code is used only for the customer it was issued for and within the Partner's authenticated platform environment
  • Ensuring Charlotte is never accessible on any publicly accessible page
  • Notifying Vetting Hub Ltd promptly when any customer stops using Charlotte or cancels their Licence
  • Ensuring all customers are clearly informed about Charlotte's nature and limitations before they first use her, as set out in clause 13
  • Holding current Professional Indemnity insurance as required by clause 5
  • Paying all invoices within 14 days of the invoice date
  • Notifying Vetting Hub Ltd promptly of any suspected misuse of Charlotte or any Embed Code
  • Complying with all applicable laws and regulations including UK GDPR and the Data Protection Act 2018
  • Not representing Charlotte as the Partner's own proprietary technology
  • Not granting customers any rights in or to the Knowledge Base or any Embed Code

What Partners Must Tell Their Customers

Before any customer accesses Charlotte the Partner must ensure that customer has been clearly informed of all of the following. This is a mandatory condition of the partnership.

  • Charlotte is an AI compliance advisor that provides general guidance only and does not provide legal advice
  • Charlotte's guidance does not constitute a legal opinion and must not be treated as one
  • All decisions made on the basis of Charlotte's guidance are the sole responsibility of the customer and their organisation
  • Vetting Hub Ltd accepts no liability for any decision, action, or consequence arising from reliance on Charlotte's guidance
  • Charlotte operates from a fixed knowledge base and may not always reflect the most current legal or regulatory position
  • Customers must not input personal data, candidate information, or any sensitive personal information into Charlotte
  • Where legal advice is needed, customers must consult a qualified solicitor or barrister

Vetting Hub Ltd recommends displaying a clear disclaimer to customers at the point of access to Charlotte. The disclaimer must state at minimum that Charlotte provides general compliance guidance only, does not provide legal advice, and that all decisions based on her guidance are the customer's sole responsibility.

No Personal Data

Charlotte is built not to collect, process, store, or retain personal data. She does not ask for names, job titles, candidate details, or any other identifying information. She does not store conversation histories. Nothing is passed to Vetting Hub Ltd or any third party during or after a conversation.

The Partner must ensure customers are instructed not to input personal data into Charlotte. The Partner is responsible for all data protection compliance within their own platform and systems.

No data processing agreement between Vetting Hub Ltd and the Partner is required specifically in relation to Charlotte's function as a compliance guidance tool.

Suspension and Immediate Termination

Vetting Hub Ltd may immediately suspend or terminate any or all active Licences or the entire partnership without notice and without refund in any of the following circumstances.

  • Payment is overdue by more than 14 days or a chargeback is initiated
  • The Partner is in material breach of any provision of these Terms
  • An Embed Code is used for more than one customer or in any publicly accessible environment
  • Any attempt is made to extract, replicate, or reverse engineer the Knowledge Base
  • Charlotte is used to develop or train any competing AI product
  • The Partner fails to hold adequate Professional Indemnity insurance when required
  • The Partner becomes insolvent, enters administration, or ceases to trade
  • Continued operation poses a risk to the integrity of the Knowledge Base or the Vetting Hub Ltd brand

Upon suspension or termination all relevant Embed Codes will be deactivated immediately. All outstanding fees remain payable. Vetting Hub Ltd accepts no liability for any consequence arising from suspension or termination under this clause.

Limitation of Liability

To the fullest extent permitted by law, Vetting Hub Ltd's total liability to the Partner for any and all claims connected to these Terms or Charlotte shall not exceed the total fees paid by the Partner in the three calendar months immediately before the event giving rise to the claim.

Vetting Hub Ltd accepts no liability for:

  • Any regulatory action, fine, penalty, or enforcement consequence arising from the Partner's or any customer's use of or reliance on Charlotte's guidance
  • Any compliance failure or breach of regulatory obligation
  • Any legal proceedings, tribunal claim, or dispute arising from decisions made on the basis of Charlotte's guidance
  • Any loss of profit, revenue, business opportunity, or anticipated savings
  • Any indirect, consequential, or special loss of any kind
  • Any loss arising from Charlotte's guidance not reflecting the most current legal or regulatory position
  • Any loss arising from the Partner's failure to notify Vetting Hub Ltd of a customer cancellation in time to prevent an invoice being issued
  • Any loss arising from the suspension or termination of any Licence or the partnership in accordance with these Terms

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Indemnity

The Partner shall indemnify and hold harmless Vetting Hub Ltd from and against any and all claims, losses, costs, and expenses including legal fees arising from or connected to:

  • The Partner's breach of any provision of these Terms
  • Any claim by a customer or third party arising from the Partner's deployment or operation of Charlotte
  • Any failure by the Partner to adequately inform customers that Charlotte does not provide legal advice
  • Any misrepresentation made by the Partner about Charlotte's capabilities, nature, or origin
  • The Partner's failure to hold adequate Professional Indemnity insurance

Intellectual Property

All intellectual property rights in Charlotte, the Knowledge Base, all Embed Codes, and the Vetting Hub Ltd brand belong exclusively to Vetting Hub Ltd. Nothing in these Terms transfers any ownership to the Partner.

The Partner is granted a limited, non-exclusive, non-transferable licence to use each Embed Code solely for the customer it was issued for, within the Partner's authenticated platform, during the period that Licence remains active, and in accordance with these Terms.

The Partner must not copy or reproduce any part of the Knowledge Base, use Charlotte to develop any competing AI product, reverse engineer any part of the service, or use the Vetting Hub Ltd or Charlotte name or branding without prior written consent.

Confidentiality

The Partner agrees to keep all information provided by Vetting Hub Ltd strictly confidential. This includes the Knowledge Base, all Embed Codes, configuration details, pricing, and any other non-public information. The Partner must not disclose this information to any third party without prior written consent from Vetting Hub Ltd.

These confidentiality obligations survive termination of the partnership and remain in force indefinitely.

Prohibited Use

The Partner must not use Charlotte and must ensure customers do not use Charlotte for any of the following.

  • Any purpose that is unlawful
  • Any automated, scripted, or programmatic querying that is not genuine human-led interaction
  • Any attempt to extract, copy, or reconstruct the Knowledge Base
  • Any input of personal data or information that could identify a living individual
  • Any use designed to probe the Knowledge Base for competitive intelligence purposes
  • Any use in connection with unlawfully discriminatory employment practices
  • Any purpose outside the scope of UK employment screening and vetting compliance guidance

Changes to These Terms

Vetting Hub Ltd may update these Terms from time to time. Where changes are material, Vetting Hub Ltd will give not less than 30 days written notice before the changes take effect. Continued use of the service following notice of changes constitutes acceptance. The current version of these Terms is available at vettinghub.co.uk.

Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising from or connected to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Who Is Responsible

The Client and every End User are solely responsible for all decisions made on the basis of Charlotte's guidance. Vetting Hub is not.

Vetting Hub's Position

Vetting Hub accepts no liability for regulatory action, compliance failure, legal proceedings, or any loss arising from reliance on Charlotte's guidance.

Definitions

In these Terms the following words have the meanings set out below.

Vetting Hub
Graham Johnson trading as Vetting Hub, the operator of the service.
Charlotte
The AI compliance advisor built on the Vetting Hub knowledge base and delivered to Clients via an embed code.
Client
The organisation, company, or individual that has entered into an agreement with Vetting Hub to embed or use Charlotte.
Platform Client
A Client that is a software platform operator embedding Charlotte within a product made available to its own customers.
End User
Any individual who interacts with Charlotte through the Client's system or platform.
Embed Code
The CSS code provided by Vetting Hub that enables Charlotte to function within the Client's authenticated environment.
Knowledge Base
The proprietary library of 65 specialist topics and 2,900 sub-topics authored and maintained exclusively by Graham Johnson.
Authenticated Environment
A system, portal, platform, or intranet that requires prior login or authentication before access is granted.
Monthly Fee
The recurring monthly subscription fee of £1,495 per month payable by the Client. There is no setup fee. The Monthly Fee is the only fee payable by the Client.
Confidential Information
The Knowledge Base, embed code, configuration, system architecture, pricing, and any other non-public information disclosed by Vetting Hub to the Client.
Compliance Guidance
General information and guidance on UK employment screening and vetting compliance provided by Charlotte. Compliance guidance is not legal advice.

About These Terms

These Terms and Conditions govern the relationship between Vetting Hub and the Client in connection with access to and use of Charlotte. They apply to all Clients including organisations embedding Charlotte for internal use and software platforms embedding Charlotte within products they make available to third parties.

By engaging Vetting Hub, completing onboarding, embedding the Embed Code, or permitting End Users to access Charlotte, the Client agrees to be bound by these Terms in full.

These Terms take effect on the date the Client confirms acceptance in writing or by conduct and remain in effect until the subscription is lawfully terminated in accordance with these Terms.

If you do not agree to these Terms in full you must not proceed with onboarding, embed Charlotte, or permit any End User to access Charlotte.

Nature of the Service

Vetting Hub provides a specialist AI compliance guidance service for use in connection with UK employment screening, vetting, and background checking. Charlotte is Graham Johnson's AI knowledge resource, built entirely on specialist operational expertise accumulated over 18 years in the UK employment screening industry.

Charlotte is designed to provide general compliance guidance to support informed decision-making. She is not a general-purpose AI assistant, does not search the internet, and does not draw on any source outside the Knowledge Base.

The service is delivered exclusively via an Embed Code. Charlotte must only be deployed within an Authenticated Environment. Charlotte must not under any circumstances be placed on any publicly accessible webpage or area accessible without prior authentication.

The service includes access to Charlotte via the Embed Code, coverage of 65 specialist topics and 2,900 sub-topics, ongoing maintenance of the Knowledge Base at Vetting Hub's discretion, and initial deployment support. It does not include legal advice, standalone consultancy, bespoke knowledge base development, or any services not expressly described in these Terms.

No Legal Advice

This is the most important clause in these Terms. Read it carefully.

Charlotte provides general compliance guidance only. Nothing Charlotte says, suggests, implies, or produces constitutes legal advice under any circumstances.

Charlotte is not a solicitor, barrister, legal professional, or regulated adviser. She is not registered with or regulated by any legal professional body. She does not hold professional indemnity insurance in connection with legal advice. She cannot and does not provide legal opinions.

Charlotte does not create any legal, advisory, fiduciary, or professional relationship between Vetting Hub and any Client or End User, regardless of the subject matter of the conversation, the nature of the question asked, or the content of the guidance provided.

No guidance provided by Charlotte should ever be treated as a substitute for independent legal advice from a qualified solicitor or barrister. Where legal advice is required, it must be obtained from an appropriately qualified and regulated legal professional.

Charlotte Can

Explain compliance frameworks, describe best practice, outline regulatory requirements, summarise obligations, and provide general guidance on UK employment screening and vetting.

Charlotte Cannot

Provide legal advice, give legal opinions, advise on litigation or disputes, replace a solicitor, or create any legally binding position or obligation.

Who Decides

All decisions made on the basis of Charlotte's guidance remain entirely and solely the responsibility of the Client or End User making them. Vetting Hub has no involvement in and accepts no responsibility for those decisions.

Vetting Hub's Position

Vetting Hub accepts no liability whatsoever for any regulatory action, compliance failure, legal proceedings, tribunal claim, penalty, fine, or loss of any kind arising from reliance on Charlotte's guidance.

The Client is responsible for ensuring that all End Users are clearly and prominently informed before first accessing Charlotte that Charlotte provides general compliance guidance only and does not provide legal advice. This is a mandatory obligation and not optional.

Where any matter requires definitive legal guidance, the Client and End User must seek advice from a qualified solicitor or barrister. The cost and consequences of not doing so rest entirely with the Client or End User. Vetting Hub accepts no responsibility for that decision.

Knowledge Base and Limitations

Charlotte operates solely from the Knowledge Base authored and maintained by Graham Johnson. The Knowledge Base covers UK employment screening and vetting compliance as at the date of its most recent update.

Charlotte does not browse the internet, access live regulatory publications, connect to external databases, or generate answers from any source outside the Knowledge Base. If Charlotte cannot answer a question from the Knowledge Base she will say so clearly.

The Client acknowledges all of the following limitations in full:

  • Laws, regulations, regulatory guidance, and enforcement practices change. Vetting Hub does not guarantee that Charlotte's guidance reflects the most current legal or regulatory position at all times.
  • Charlotte's guidance is general in nature and may not account for the specific circumstances, sector, size, risk profile, or regulatory obligations of the Client or its customers.
  • Charlotte may not cover every topic within the scope of UK employment screening. Where a question falls outside the Knowledge Base, Charlotte will say so.
  • The Knowledge Base is updated at Vetting Hub's discretion. Vetting Hub does not guarantee any specific update frequency.
  • Charlotte does not provide guidance on any jurisdiction outside the United Kingdom.
  • Charlotte's answers should always be verified against current official sources before being acted upon, particularly where legislative or regulatory changes may have occurred.

The Client is solely responsible for verifying the currency and applicability of any guidance received from Charlotte before acting upon it. Vetting Hub accepts no liability for loss arising from acting on guidance that was accurate at the time of the Knowledge Base's last update but has since been superseded.

Trial Period

Vetting Hub may at its discretion offer a trial period of seven days to allow prospective Clients to evaluate Charlotte. The following conditions apply.

  • The trial is provided free of charge for a maximum of seven calendar days.
  • Access is limited to one named user during the trial period.
  • The trial provides full access to Charlotte's Knowledge Base for evaluation purposes only.
  • All provisions of these Terms apply during the trial period with the exception of the fee and notice provisions.
  • Vetting Hub reserves the right to terminate a trial at any time without notice and without liability.
  • At the conclusion of the trial, access ceases automatically unless the Client confirms in writing their intention to subscribe.
  • Trial access is granted once per Client. Vetting Hub reserves the right to decline a trial request at its discretion.

Onboarding and Setup

Prior to deployment, the Client must complete Vetting Hub's onboarding process including confirmation of the Authenticated Environment into which Charlotte will be embedded.

The Client is responsible for ensuring the Authenticated Environment meets these Terms' requirements, providing accurate information at onboarding, implementing the Embed Code correctly, testing Charlotte prior to making her available to End Users, and notifying Vetting Hub promptly of any technical issue following deployment.

Vetting Hub will provide the Embed Code and reasonable deployment support. Vetting Hub is not responsible for technical failures arising from incorrect implementation by the Client or incompatibilities within the Client's own system.

The Embed Code is provided exclusively for use in the Authenticated Environment specified at onboarding. Use in any other environment requires prior written consent from Vetting Hub.

Fees and Payment

There is no setup fee. The Monthly Subscription of £1,495 is the only fee payable. It is a flat rate regardless of the number of End Users, customers, or volume of use.

All fees are stated exclusive of VAT. Where VAT is applicable it will be charged at the prevailing rate and shown separately on invoices.

Payment is due within 14 days of invoice. Late payment will accrue interest at 8% per annum above the Bank of England base rate pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.

Vetting Hub reserves the right to review and adjust the Monthly Fee on not less than 30 days written notice. Continued use of the service following a fee change constitutes acceptance. If the Client does not accept a fee change they may terminate the subscription in accordance with clause 10.

Fair AI Usage Policy

Charlotte is provided for reasonable, human-led compliance activity. The Monthly Fee is calculated on the basis of genuine human users asking compliance questions in the course of normal professional activity, typically resulting in total monthly token consumption in the low hundreds of thousands of tokens across a platform.

Excessive use is defined as any automated, scripted, API-driven, or non-human-led use, or any use resulting in total monthly token consumption consistently exceeding 500,000 tokens per calendar month.

Where usage consistently exceeds 500,000 tokens per calendar month, Vetting Hub reserves the right to review usage with the Client. If following review usage is found to be significantly above normal human-led activity, an additional monthly charge not exceeding £90 per month may be applied following prior written notification and the Client's agreement.

Automated querying, scripted interrogation, bulk processing, or any use designed to extract or replicate the Knowledge Base constitutes a material breach and will result in immediate termination without refund.

Term and Cancellation

The subscription begins on the date of first deployment and continues on a rolling monthly basis until lawfully cancelled or terminated.

Minimum notice period: Either party may cancel by providing not less than three calendar months' written notice. Notice must be sent by email to [email protected] with a subject line clearly stating the intention to cancel. Notice takes effect from the date acknowledged by Vetting Hub.

All Monthly Fees remain payable in full throughout the notice period. No refund or credit will be given in respect of any fees paid or payable during the notice period. At the end of the notice period the Embed Code will be deactivated and the Client must remove it from their system.

To cancel, email [email protected] — Subject: Notice of Cancellation — [your organisation name]. Your three month notice period begins from the date Vetting Hub acknowledges receipt in writing.

Suspension and Immediate Termination

Vetting Hub reserves the right to immediately suspend or terminate access without notice and without refund in any of the following circumstances.

  • Payment fails, is overdue by more than 14 days, or a chargeback is initiated
  • The Client is in material breach of any provision of these Terms
  • Any attempt is made to scrape, extract, reverse engineer, stress test, or systematically interrogate Charlotte or the Knowledge Base
  • Charlotte is made accessible outside an Authenticated Environment
  • Charlotte is used in a manner that creates legal, regulatory, reputational, or operational risk for Vetting Hub
  • Charlotte is used to develop, train, or improve any competing AI system or product
  • The Client becomes insolvent, enters administration, or ceases to trade
  • Continued operation poses a risk to the integrity of the Knowledge Base or the Vetting Hub brand

Upon suspension or termination the Embed Code will be deactivated immediately. All fees outstanding at the date of termination remain immediately payable. Vetting Hub accepts no liability for any consequence arising from such suspension or termination.

Client Obligations

The Client is responsible for the following throughout the duration of the subscription.

  • Ensuring Charlotte is only accessible within an Authenticated Environment and is never placed on any publicly accessible page
  • Ensuring the Embed Code is used only within the single Authenticated Environment agreed at onboarding
  • Ensuring all End Users are employees, contracted staff, or verified customers who have been granted access through a proper authentication process
  • Maintaining the security of the Authenticated Environment to prevent unauthorised access to Charlotte
  • Notifying Vetting Hub promptly if the Client becomes aware of any unauthorised access to or misuse of Charlotte
  • Complying with all applicable data protection legislation including UK GDPR and the Data Protection Act 2018
  • Ensuring that use of Charlotte complies with all applicable laws and regulations relevant to the Client's sector
  • Maintaining appropriate insurance cover in connection with the use of the service

End User Communication

Before making Charlotte available to End Users, the Client must ensure that End Users are clearly and prominently informed of all of the following. This is a mandatory obligation.

  • Charlotte is an AI compliance advisor that provides general guidance only and does not provide legal advice under any circumstances
  • Charlotte's guidance does not constitute a legal opinion and must not be treated as such
  • All decisions made on the basis of Charlotte's guidance remain the sole responsibility of the End User and their organisation
  • Vetting Hub accepts no liability for any decision, action, or consequence arising from reliance on Charlotte's guidance
  • Charlotte operates from a fixed knowledge base and may not reflect the most current legal or regulatory position at all times
  • End Users must not input personal data, candidate information, or any sensitive personal information into Charlotte
  • Where legal advice is required, End Users must consult a qualified solicitor or barrister

Vetting Hub strongly recommends displaying a clear disclaimer to End Users at the point of access to Charlotte. The disclaimer must state at minimum that Charlotte provides general compliance guidance only, does not provide legal advice, and that all decisions based on her guidance are the End User's sole responsibility.

Resale by Software Platforms

Platform Clients may charge their own customers for access to Charlotte as part of their product offering. Vetting Hub has no involvement in and accepts no responsibility for any pricing, commercial arrangement, or contractual relationship between a Platform Client and its customers.

Where a Platform Client makes Charlotte available to its customers, the Platform Client remains solely responsible for all obligations under these Terms, must ensure customers are informed of Charlotte's nature and limitations per clause 13, must not represent Charlotte as the Platform Client's own proprietary technology, must not grant customers any rights in or to the Knowledge Base or Embed Code, and accepts that Vetting Hub has no direct relationship with the Platform Client's customers.

The Platform Client indemnifies Vetting Hub against any claim, loss, or liability arising from the Platform Client's relationship with its own customers in connection with the provision of Charlotte.

No Personal Data Processing

Charlotte is deliberately designed not to request, collect, process, store, or retain personal data. This is a permanent design decision.

Charlotte does not ask End Users for their name, job title, employer, candidate details, or any other identifying information. She does not store conversation histories. She does not pass any information to Vetting Hub or to any third party during or after a conversation.

Vetting Hub is not a data processor or joint controller in relation to Charlotte's operation as a guidance tool. No data processing agreement is required between Vetting Hub and the Client specifically in relation to Charlotte's function as an AI compliance advisor.

The Client is responsible for ensuring End Users are instructed not to input personal data into Charlotte, ensuring the Authenticated Environment complies with all applicable data protection obligations, and for any personal data processing that occurs within the Client's own systems.

Confidentiality

The Client acknowledges that the Knowledge Base, the Embed Code, all configuration details, system architecture, pricing, and any other non-public information disclosed by Vetting Hub constitutes Confidential Information belonging exclusively to Vetting Hub.

The Client agrees to keep all Confidential Information strictly confidential, not to disclose it to any third party without prior written consent, to use it only for the purposes permitted under these Terms, to implement reasonable security measures to protect it, and to notify Vetting Hub immediately of any actual or suspected unauthorised disclosure.

The confidentiality obligations in this clause survive termination of the subscription and remain in force indefinitely.

The Client must not attempt to access, copy, extract, or replicate any part of the Knowledge Base by any means. Any such attempt constitutes a material breach and will result in immediate termination and may give rise to a claim for damages.

Intellectual Property

All intellectual property rights in and to Charlotte, the Knowledge Base, the Vetting Hub brand, the Embed Code, and all related materials are and shall remain the exclusive property of Graham Johnson trading as Vetting Hub. Nothing in these Terms transfers any ownership of intellectual property to the Client.

The Client is granted a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to use Charlotte solely by means of the Embed Code, within the agreed Authenticated Environment, during the term of the subscription, and strictly for the purposes permitted under these Terms.

This licence does not permit the Client to copy, reproduce, or extract any part of the Knowledge Base, use Charlotte to develop or train any competing AI system, sublicence or transfer the Embed Code beyond what is permitted in clause 14, reverse engineer or attempt to derive the content of the Knowledge Base, or use the Vetting Hub or Charlotte name or branding without prior written consent.

Any breach of this clause will result in immediate termination of the licence and may give rise to a claim for damages, injunctive relief, or both.

Prohibited Use

The Client must not use Charlotte and must ensure End Users do not use Charlotte for any of the following.

  • Any purpose that is unlawful or that would expose Vetting Hub to legal liability
  • Any purpose outside the scope of UK employment screening, vetting, and compliance guidance
  • Any automated, scripted, or programmatic querying other than genuine human-led interaction
  • Any attempt to extract, replicate, or reconstruct the Knowledge Base in whole or in part
  • Any use involving the input of personal data, sensitive personal data, or information that could identify a living individual
  • Any use designed to test or probe the Knowledge Base for competitive intelligence purposes
  • Any use in connection with discriminatory employment practices or any practice that would constitute unlawful discrimination under the Equality Act 2010
  • Any use that would breach the terms of any regulatory body applicable to the Client's sector

Limitation of Liability

To the fullest extent permitted by applicable law, Vetting Hub's total aggregate liability to the Client in connection with these Terms, the service, or Charlotte, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall not exceed the total Monthly Fees paid by the Client in the three calendar months immediately preceding the event giving rise to the claim.

Vetting Hub excludes all liability, whether direct or indirect, for:

  • Any regulatory action, fine, penalty, or enforcement consequence arising from the Client's use of or reliance on Charlotte's guidance
  • Any compliance failure, audit finding, or breach of regulatory obligation
  • Any employment tribunal claim, legal proceedings, or dispute arising from decisions made on the basis of Charlotte's guidance
  • Any loss of profit, revenue, business opportunity, goodwill, or anticipated savings
  • Any indirect, consequential, or special loss of any kind
  • Any loss arising from reliance on Charlotte's guidance in circumstances where independent legal advice should have been sought
  • Any loss arising from the suspension or termination of the service in accordance with these Terms
  • Any loss arising from the Knowledge Base not reflecting the most current legal or regulatory position
  • Any loss arising from a Client or End User acting on Charlotte's guidance without first verifying its currency and applicability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Indemnity

The Client shall indemnify, defend, and hold harmless Vetting Hub and Graham Johnson from and against any and all claims, damages, losses, costs, and expenses including reasonable legal fees arising from or in connection with:

  • The Client's breach of any provision of these Terms
  • The Client's use of Charlotte in a manner not permitted by these Terms
  • Any claim by an End User or third party arising from the Client's deployment or operation of Charlotte
  • Any claim arising from the Client's relationship with its own customers in connection with Charlotte
  • Any misrepresentation made by the Client to End Users or third parties about Charlotte's capabilities, nature, or origin
  • Any failure by the Client to adequately inform End Users that Charlotte does not provide legal advice

Disclaimer

Charlotte is provided on an "as is" and "as available" basis. Vetting Hub makes no warranty, express or implied, regarding the accuracy, completeness, currency, or fitness for purpose of any guidance provided by Charlotte, the uninterrupted or error-free operation of the service, or the suitability of Charlotte's guidance for any particular purpose, sector, or organisation.

The Client acknowledges that Charlotte operates from a fixed knowledge base that may not reflect legislative or regulatory changes that have occurred since the Knowledge Base was last updated. The Client accepts full responsibility for verifying the currency and applicability of any guidance received from Charlotte before acting upon it.

Charlotte's guidance is provided for general informational and compliance support purposes only. It is not and must never be treated as legal advice. Vetting Hub expressly disclaims all liability for any decision, action, or consequence arising from reliance on Charlotte's guidance.

Changes to These Terms

Vetting Hub may amend these Terms from time to time. Where changes are material, Vetting Hub will provide not less than 30 days written notice before the revised Terms take effect. Continued use of the service following notification constitutes acceptance. The most current version of these Terms is available at vettinghub.co.uk.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.

Entire Agreement

These Terms and the Vetting Hub Privacy Policy constitute the entire agreement between the Client and Graham Johnson trading as Vetting Hub and supersede all prior agreements, representations, and understandings whether written or oral. No variation of these Terms shall be effective unless agreed in writing by Vetting Hub. If any provision is found invalid or unenforceable it shall be modified to the minimum extent necessary and the remaining provisions shall continue in full force.
